The study remarks the organizational changes and the enterprise managing logic, the productive strategies, financial problems and the links established between the entrepreneurs and the State. We also remark the Argentinean changing macroeconomic conditions as a way of explaining the crisis of both enterprises. The findings of the comparative method allow us to visualize the diver-gent entrepreneurial trajectories but with a same ending: the transfer of both firms to the control of the State. Once they were controlled by the state, both of them were financially sustained during the years with the only purpose of avoiding the bankruptcy and the social conflict as one of its main consequences. The analysis of these factors allow to explore the complex and in occasions traumatic relationship between the entrepreneurial dynamic and the changing institutional economical and political environment on a national level. Este trabajo presenta un estudio comparativo entre dos firmas industriales, SIAM Di Tella y Winco SA. Particularmente se analizan determinantes que condujeron a la crisis de ambas empresas y su paso al control estatal en el transcurso de los años sesenta y primeros setenta. El estudio destaca los cambios organizacionales y las lógicas de conducción empresaria, las estrategias productivas, los problemas financieros y los vínculos establecidos entre los empresarios y el Estado. También las cambiantes condiciones macroeconómicas de la Argentina reclaman parte de la explicación de la crisis de ambas empresas. Los hallazgos del método comparativo permiten visualizar trayectorias empresariales divergentes pero un mismo resultado final: el traspaso de ambas empresas a manos del Estado. Una vez bajo control estatal ambas empresas fueron sostenidas financieramente durante años con el sólo propósito de evitar la quiebra y el conflicto social que ello acarrearía. El análisis de estos factores permite explorar las complejas y en ocasiones traumáticas relaciones que se perfilan entre la dinámica empresaria y los cambiantes ambientes institucionales y económicos a nivel nacional.
